L&B Partners Avvocati Associati, Bird & Bird and Pedersoli Studio Legale acted as legal advisors in the transaction.

L&B Partners Avvocati Associati advised Swisspower Renewables AG, a Swiss company among the main players in the hydroelectric sector, in the acquisition of a 50% stake in the company Energia Ambiente S.p.A., owner of 9 hydroelectric plants located in Lombardia, with a total installed capacity equal to approximately 38 MW and an estimated energy production of approximately 88 GWh, from the company 3New 6 Partners S.p.A., advised by Bird&Bird.

The remaining 50% of the corporate capital of Energia Ambiente S.p.A. remained property of Bissi Holding S.p.A..

The team of L&B Partners Avvocati Associati was led by counsel Andrea Semmola who, under the supervision of partner Michele Di Terlizzi and with the support of junior associate Carlo Maria Tealdo, assisted Swisspower in all stages of the transaction, including the due diligence. The administrative and real estate due diligence was overseen by managing associate Alessandro Salzano.

The Bird & Bird team, which advised 3New & Partners S.p.A., was led by partner Pierpaolo Mastromarini, head of the Italian energy & utilities team, supported by counsel Maurizio Pinto and associate Vanessa Sebastianutti for corporate law issues. Senior associate Michele Arruzzolo and associate Vincenzo Giorgio oversaw all aspects relating to project documents and commercial contracts. Administrative law aspects were handled by partner Simone Cadeddu and senior associate Jacopo Nardelli.

L&B Partners Avvocati Associati also advised Swisspower in the subsequent negotiation and implementation of partnership and joint venture agreements with Bissi Holding S.p.A. assisted by Pedersoli Studio Legale. Equity partner Marcello Magro and senior associate Fabrizio Grasso represented Pedersoli Studio Legale.
