DLA PIPER AND L&B PARTNERS SECURE FINANCING FOR TOZZI GROUP WIND PROJECT

The international law firm DLA Piper advised Natixis, in its capacity as lender and structuring mandated lead arranger, MPS Capital Services, acting as agent bank, lender and mandated lead arranger, and Bnl Gruppo Bnp Paribas, in its capacity as lender and mandated lead arranger, in the negotiation and disbursement of a €67.4 million facility to Cerignola Wind, a company associated with the Tozzi group as beneficiary, advised by L&B Partners Avvocati Associati and L&B Partners S.p.A. acting, respectively, as legal and financial advisors.
The portfolio of wind farms involved in the refinancing was funded on a project financing basis. This portfolio consists of 3 wind farms with a total power generation capacity of 52 MW, located in Sicily and Apulia.
The DLA Piper team was coordinated by partner Federico Zucconi Galli Fonseca who, together with Silvia Ravagnani, Francesco Cerri, Benedetta Cerantola and Eleonora Curti, handled the negotiation and drafting of the financing documentation and the documentation relating to the project contracts concerning the wind parks involved in the transaction. Regulatory and administrative law aspects were supervised by partner Germana Cassar, together with Mattia Malinverni, Eleonora Frizziero and Michele Rondoni. Partner Andrea Di Dio, together with Federico D’Amelio, dealt with fiscal matters. Partner Vincenzo La Malfa, assisted by Filippo Giacumbo, took care of the aspects relating to the hedging contracts. Partner Giovanni Luigi Ragnoni Bosco Lucarelli, assisted by Francesco Chericoni and Emanuele Sornaga, dealt with all aspects concerning the repayment of the existing project facilities associated with the portfolio and the cancellation of existing guarantees.
The Tozzi group was advised during all phases of the transaction by L&B Partners Avvocati Associati, with a team coordinated by partner Michele Di Terlizzi and composed of Andrea Semmola, Giuseppe Candela and Chiara Bertolini.
