ENI gas e luce signed an agreement with L&B Capital and Enventi for the purchase of a 70% stake in Evolvere, a group operating in the distributed generation sector, which manages over 10,000 photovoltaic plants, 8,000 of which under its ownership, located throughout Italy, for a total installed capacity of approximately 54 MW. The closing of the acquisition is subject to the fulfilment of certain conditions precedent, including the obtainment of the authorisation from the competent regulatory authorities.

The sellers L&B Capital and Enventi were advised, for the legal aspects of the transaction, by L&B Partners Avvocati Associati, with a team led by Michele Di Terlizzi and composed of lawyers Davide Pelloso and Giulia Paternostro.

The buyer ENI gas e luce was advised by the law firm Pedersoli, with a team led by Ascanio Cibrario and composed by Luca Rossi Provesi, Giorgio Sorci and Alessandro Airaghi.

Pedersoli acted in collaboration with some of ENI’s internal lawyers, namely Pietro Galizzi, legal affairs director of ENI gas e luce, and Federica Andreoni and Niccolò Pallesi, both from ENI’s M&A legal team.
