Selected deals

L&B Partners Avvocati Associati and Bird & Bird were involved in the acquisition by Swisspower Renewables, a Swiss company active in the hydroelectric sector, of the entire share capital of 3 Hydro (wholly owned by 3New & Partners) and Tecnowatt (owned by 3New & Partners and Gardini 2002). The two companies own five hydroelectric power plants located in Lombardy and Basilicata with an installed capacity of around 12 MW.

L&B Partners Avvocati Associati advised the buyer Swisspower Renewables with a team led by counsel Andrea Semmola who, under the supervision of partner Michele Di Terlizzi and with the support of junior associate Carlo Maria Tealdo and trainee Chiara Bertolini, oversaw all the stages of the transaction, including the due diligence, which was overseen by managing associate Alessandro Salzano.

The Bird & Bird team, which advised the sellers 3New & Partners and Gardini 2002, was led by partner Pierpaolo Mastromarini, head of the Italian energy & utilities team, supported by counsel Maurizio Pinto and associate Vanessa Sebastianutti for corporate law matters. Senior associate Michele Arruzzolo and associate Vincenzo Giorgio oversaw all aspects relating to project documents and commercial contracts. Administrative law aspects were handled by partner Simone Cadeddu and by senior associate Jacopo Nardelli.
