BIRD & BIRD AND L&B PARTNERS SECURE REFINANCING OF A PHOTOVOLTAIC PLANT FOR CGE PALEA ARSA

Bird & Bird advised MPS Capital Services as arranger, lending bank and agent bank in a refinancing transaction for a total of €9.75 million to fund a photovoltaic plant with a power output of about 9.6 MWp, built in the municipality of Casamassima (BA).

Bird & Bird advised Intesa Sanpaolo and Banca Imi as purchasers of a portion of the original facilities granted by a pool of banks in favour of, respectively, Daunia Ascoli and Daunia Savignano, two companies active in the renewable energy sector. The facilities had been granted in order to finance a 53.5MW wind farm located in the municipality of Ascoli Satriano (Foggia, Apulia) and a wind farm having a capacity of approximately 78MW (later increased to approximately 83MW) located in the municipality of Savignano (Avellino, Campania).

The international law firm DLA Piper advised Natixis, in its capacity as lender and structuring mandated lead arranger, MPS Capital Services, acting as agent bank, lender and mandated lead arranger, and Bnl Gruppo Bnp Paribas, in its capacity as lender and mandated lead arranger, in the negotiation and disbursement of a €67.4 million facility to Cerignola Wind, a company associated with the Tozzi group as beneficiary, advised by L&B Partners Avvocati Associati and L&B Partners S.p.A. acting, respectively, as legal and financial advisors.

L&B Partners Avvocati Associati and Bird & Bird were involved in the acquisition by Swisspower Renewables, a Swiss company active in the hydroelectric sector, of the entire share capital of 3 Hydro (wholly owned by 3New & Partners) and Tecnowatt (owned by 3New & Partners and Gardini 2002). The two companies own five hydroelectric power plants located in Lombardy and Basilicata with an installed capacity of around 12 MW.

PHOTOVOLTAIC: ENI GAS E LUCE ACQUIRES 70% OF EVOLVERE. THE LAW FIRMS

ENI gas e luce signed an agreement with L&B Capital and Enventi for the purchase of a 70% stake in Evolvere, a group operating in the distributed generation sector, which manages over 10,000 photovoltaic plants, 8,000 of which under its ownership, located throughout Italy, for a total installed capacity of approximately 54 MW. The closing of the acquisition is subject to the fulfilment of certain conditions precedent, including the obtainment of the authorisation from the competent regulatory authorities.
