As far as corporate aspects are concerned, we support our clients from the choice of the corporate vehicle that best suits their needs (for example, access to the start-up scheme or innovative SME programmes) to the optimisation of the divestment strategy during the exit phase. In particular, our professionals provide guidance for the definition of relationships between shareholders; the fund-raising phase; the negotiation and signing of investment agreements (involving equity, debt or hybrid instruments) and joint ventures; corporate governance structures; structured finance transactions (such as the issuance of equity and non-equity financial instruments) and the structuring of managers’ compensation and incentive plans (e.g. stock option plans).
In terms of industrial and intellectual property, we assist clients in all phases of the process of accessing and exploiting the technologies and innovations they wish to invest in (through, for example, sale or licensing agreements or contribution to a start-up or spin-off). We provide advice in the definition of relations with inventors, in the operational phase of the start-up or spin-off with regard to the development and protection of the technology, in contractual relationships with third parties that involve IP rights in any way (e.g., in and out licensing agreements, R&D contracts, manufacturing contracts).
