COMMERCIAL LAW AND BUSINESS CONTRACTS

We support our clients in the drafting and negotiation of all relevant commercial contracts as part of their business activities and provide assistance in the auditing of existing contracts. Among the large variety of contracts that we deal with, the most common are sales contracts (including general conditions of sale and purchase), leases, supply contracts, distribution, procurement, EPC contracts, option contracts and guarantees.

Our multidisciplinary approach and the continuous dialogue between our firm’s professionals ensure that all our contracts are clear and complete and protect the client in every aspect.

CORPORATE LAW

We assist our clients, offering innovative solutions that suit the peculiarities of each case, in complex corporate reorganizations, in the definition of corporate governance structures and in the structuring and execution of extraordinary financial transactions (such as mergers, demergers, capital increases or issuance of financial instruments), following them at every stage, liaising with all the consultants and professionals involved and taking care of the drafting and negotiation of all the necessary documentation.

We acted as legal advisor to publicly-owned companies during numerous complete and partial privatisation processes of public service companies.

LITIGATION

We regularly assist our clients in litigations arising both from commercial contracts and corporate matters. In particular, we have a specialised and consolidated experience in litigation procedures arising from extraordinary corporate transactions and acquisitions of shareholdings or company branches of business, in legal actions involving directors’ liability and claims regarding corporate resolutions (including those relating to financial statements).
