Umberto joined L&B Partners Avvocati Associati in 2021.
He deals with Corporate and Commercial Law, with a deep focus on Corporate Governance and M&A in the Energy & Infrastructure, Private Equity, Venture Capital & Start-Up and Innovation & Technology sectors.
In this context, he regularly assists clients in extraordinary transactions (including mergers, purchases/sale of participations, investment agreements, capital increases, purchases/sales of branch of business, de-mergers, spin-offs), reorganization of corporate structures (drafting of By-laws, shareholders' agreements, management agreements), as well as, in general, in all the issues related to the management of the company (shareholders' resolutions, advice on the exercise of the right of withdrawal, option and pre-emption).
He has gained certain experience in the sectors involved in the Golden Power regulation, assisting clients in the drafting of Notifications to the Presidency of the Council of Ministers relating to the purchase and sale of participations and extraordinary transactions relating to the transfer of strategic assets.
